General terms and conditions of services

ARTICLE 1: DEFINITIONS

Agreement: means the agreement between ALICIA KREIJGER TRAINING & COACHING and its Customer in relation to the Services.

Customer: means the client of ALICIA KREIJGER TRAINING & COACHING under the Agreement and the GTC. The Customer may be the End-user, but not compulsorily.

End-user(s): means the final beneficiary of the Services. The End-user is not necessarily the Customer. For example, the End-user may also be an employee or a client of the Customer as well.

GTC: means these general terms and conditions of Services provided by ALICIA KREIJGER TRAINING & COACHING to its Customer under the Agreement.

Party: means individually ALICIA KREIJGER TRAINING & COACHING or the Customer.

Proposal: means, if applicable, ALICIA KREIJGER TRAINING & COACHING’s proposal to the Customer with regards to the Services, including in particular detailed information about the nature of the Services and their price. The Proposal is part of the Agreement, along with the GTC.

Service(s): means the service(s) referred to on the Website or a Web Platform. The Services are detailed in the Proposal if need be and provided by ALICIA KREIJGER TRAINING & COACHING to its Customer and/or the End-user under the Agreement and the GTC.

ALICIA KREIJGER TRAINING & COACHING: means the provider of Services under the GTC and the Agreement.

Website: means ALICIA KREIJGER TRAINING & COACHING’s website available at https://www.alicia-kreijger.com/.

Web Platform: means any web platform used by ALICIA KREIJGER TRAINING & COACHING to promote and/or organize its Services, e.g. but not exclusively the Eventbrite or Meetup platforms, or social media accounts such as ALICIA KREIJGER TRAINING & COACHING’s Facebook page, etc.

ARTICLE 2: APPLICABILITY OF THE GTC

The GTC apply exclusively to the Agreement(s) and to any offer, quotation, Proposal or Service from ALICIA KREIJGER TRAINING & COACHING, whether organized through a Web Platform or not. Any other document from the Customer (e.g. without limitation, general terms and conditions of the Customer, etc.) shall be deemed not applicable.

ARTICLE 3: FORMATION OF THE AGREEMENT

The Agreement between ALICIA KREIJGER TRAINING & COACHING and the Customer is formed once the Customer has signed up for ALICIA KREIJGER TRAINING & COACHING’s Services or approved its Proposal if applicable in writing or by email. The GTC are a fully integrated part of the Agreement.

ARTICLE 4: SERVICES

ALICIA KREIJGER TRAINING & COACHING provides, on a best-effort basis, intercultural workshops and trainings to individuals, schools, companies, clients of relocation agencies, etc. within a group or on one to one, as well as intercultural coaching with assessments of the intercultural skills.

ARTICLE 5: TERM AND TERMINATION

The term of the Agreement is specified on ALICIA KREIJGER TRAINING & COACHING’s Proposal, the Website or a Web Platform.

In case of non-performance under the Agreement or the GTC, the complaining Party shall request in writing from the non-performing Party compliance with its obligations within a 30 (thirty) calendar days’ notice period. In case of inaction from the non-performing Party within this period, the complaining Party shall be entitled to terminate the Agreement immediately by written and without further notice period, without prejudice to Article 7 of the GTC and to any further liabilities.

To the extent allowed by the applicable law under Article 16 of the GTC, ALICIA KREIJGER TRAINING & COACHING is entitled to terminate the Agreement in case of bankruptcy of the Customer, or admission of the Customer to a statutory scheme of debt restructuring or insolvency (e.g. but not limited to judicial settlement, liquidation, etc.).

ARTICLE 6: PROPOSAL AND PRICES

Unless otherwise specified, a Proposal is valid for 30 (thirty) calendar days from the day it was sent to the Customer by ALICIA KREIJGER TRAINING & COACHING.

The prices of the Services, including any expenses if any, are stated on ALICIA KREIJGER TRAINING & COACHING’s Proposal and are increased by the applicable VAT if need be.

In case of additional Services requested by the Customer, an additional Proposal if need be with relevant financial conditions shall be sent to the Customer for approval according to Article 3 of the GTC.

ARTICLE 7: PAYMENT

Unless otherwise stated in the Proposal, the prices of the Services shall be paid and received before the performance of the Services, upon invoicing if need be from ALICIA KREIJGER TRAINING & COACHING.

ALICIA KREIJGER TRAINING & COACHING is entitled to withhold the performance of the Services under the Agreement until the payment has been made according to this provision.

If the Customer fails to pay on time for the Services, ALICIA KREIJGER TRAINING & COACHING reserves the right to charge statutory interest compounded to the extent allowed by the applicable law under Article 16 of the GTC.

ARTICLE 8: CANCELLATION

For group workshops or trainings, in case there are not enough attendees according to ALICIA KREIJGER TRAINING & COACHING, ALICIA KREIJGER TRAINING & COACHING shall reserve the right to cancel the Services by informing the Customer beforehand with a prior notice period of 5 (five) calendar days.

In this case, ALICIA KREIJGER TRAINING & COACHING shall refund the Customer for the only Services already paid and canceled.

For professional Customers only, free cancellation of the Services is possible up to 10 (ten) calendar days before the Service, by email to hello@alicia-kreijger.com. Up to 5 (five) calendar days before the Service, the cancellation is possible with a 50 (fifty) percent refund of the price, by email to hello@alicia-kreijger.com. Less than 5 (five) calendar days before the Service, the cancellation is non-refundable.

For any other case, there shall be no refund of the Services, in particular in case of absence of a Customer and/or End-user during the Services, whatever the reason.

ARTICLE 9: COOPERATION

The Customer shall inform the End-user of any of its obligations under the Agreement and/or the GTC as the case may be.

The Customer and/or the End-user shall inform ALICIA KREIJGER TRAINING & COACHING immediately of any fact or circumstance that may be of importance for and/or affect the performance of the Services.

The Customer and/or the End-User shall provide in a timely manner all the correct and complete information and documents requested by ALICIA KREIJGER TRAINING & COACHING for the performance of the Services.

ARTICLE 10: PROPERTY

During the Services, ALICIA KREIJGER TRAINING & COACHING may make available to the Customer and/or the End-user specific materials, such as books, booklets etc. These remain the property of ALICIA KREIJGER TRAINING & COACHING (or any other relevant party) and shall be returned undamaged to ALICIA KREIJGER TRAINING & COACHING at the end of the Service. If not, the Customer shall be liable to compensate ALICIA KREIJGER TRAINING & COACHING at their replacement value.

ALICIA KREIJGER TRAINING & COACHING retains any right, including intellectual property rights, with regards to, in their broadest sense, ideas, concepts, designs, inventions, brands, products, texts, pictures, etc. developed by ALICIA KREIJGER TRAINING & COACHING, whether under the Agreement or not. The Customer and/or the End-user is not allowed, whether directly or indirectly, to duplicate, make public or exploit them in any way.

Any documentation provided by ALICIA KREIJGER TRAINING & COACHING under the Services is strictly for the personal use of the Customer and/or the End-user.

ARTICLE 11: FORCE MAJEURE

ALICIA KREIJGER TRAINING & COACHING shall be excused, without any liabilities, including under Article 13 the GTC, from any performance of the Services, for any period of time, in whole or in part, in case of a force majeure event, such as illness, accident, severe weather conditions, fire, flood, earthquake, elements of nature, civil disorders, etc.

If ALICIA KREIJGER TRAINING & COACHING is prevented from or delayed in performing any of its Services by a force majeure event, ALICIA KREIJGER TRAINING & COACHING shall promptly notify the Customer as soon as possible by telephone, to be confirmed in writing within 8 (eight) calendar days, of the occurrence of the force majeure event, and state, in reasonable detail, the Services which are thereby delayed or prevented.

ARTICLE 12: COMPLAINT

If a Customer has any complaint regarding the Services under the Agreement, he shall immediately contact ALICIA KREIJGER TRAINING & COACHING at hello@alicia-kreijger.com, with a description of the complaint and all the relevant details, in order for ALICIA KREIJGER TRAINING & COACHING to be able to respond adequately, without prejudice to Article 7 of the GTC.

ARTICLE 13: LIABILITY

ALICIA KREIJGER TRAINING & COACHING shall provide the Services under the Agreement and the GTC on a best-effort basis.

To the extent allowed by the applicable law under Article 16 of the GTC, the total liability of ALICIA KREIJGER TRAINING & COACHING under the Agreement and the GTC shall be limited, all damages included, to twice the total amount excluding taxes actually paid by the Customer to ALICIA KREIJGER TRAINING & COACHING under the Agreement, with a maximum of 5,000 (five thousand) euros.

To the extent allowed by the applicable law under Article 16 of the GTC, in no circumstances shall ALICIA KREIJGER TRAINING & COACHING be liable for any indirect and/or immaterial and/or future damages, such as but not limited to, consequential loss or damage, indirect loss, forgone profits, missed savings, loss of opportunity, etc.

ALICIA KREIJGER TRAINING & COACHING shall not be liable due to incompleteness or incorrectness of any information or document provided by the Customer and/or the End-user.

ARTICLE 14: INSURANCE

The Customer declares that it has subscribed to the appropriate insurance(s) under the Services provided.

ARTICLE 15: PUBLICITY

To the extent allowed by the applicable law under Article 16 of the GTC, the Customer expressly agrees and undertakes in advance to authorise hereby ALICIA KREIJGER TRAINING & COACHING to mention the Customer’s business name, logo and a short description of the Services provided on the Website, a Web Platform or through any other communication tool, in order to provide marketing content or advertisement for ALICIA KREIJGER TRAINING & COACHING.

ALICIA KREIJGER TRAINING & COACHING may as well request from the Customer and/or the End-user a testimonial to be published on the Website, a Web Platform or through any communication tool, for the same purpose.

To the extent allowed by the applicable law under Article 16 of the GTC, the Customer and/or the End-user expressly agrees in advance that ALICIA KREIJGER TRAINING & COACHING is authorised to take pictures and/or videos under the Agreement and during the Services. These pictures and videos may be published on the Website, a Web Platform or through any other communication tool, in order to provide marketing content or advertisement for ALICIA KREIJGER TRAINING & COACHING.

ARTICLE 16: APPLICABLE LAW

The existence, validity, construction, interpretation, performance and termination of the GTC and the Agreement shall be governed in accordance with Dutch law.

ARTICLE 17: DISPUTE

To the extent allowed by the applicable law under Article 16 of the GTC, any disputes in connection with or arising out of the Agreement or the GTC that cannot be settled amicably shall be heard and any actions exclusively brought to the competent court having jurisdiction over ALICIA KREIJGER TRAINING & COACHING’s registered office at the time of the dispute.

ARTICLE 18: CONTACT

ALICIA KREIJGER TRAINING & COACHING is a sole proprietorship (‘’eenmanszaak’’) under the applicable law mentioned in Article 16 of the GTC. It is registered with the Trade register (‘’Kamer Van Koophandel’’) under number 68820305 and has the VAT number [to complete].

ARTICLE 19: GENERAL PROVISIONS

In case any provision of the Agreement or the GTC is declared or become void or invalid, in whole or in part, whatever the reason, this shall not affect the remainder of such provision and the other provisions of the Agreement or the GTC, which will remain in full force.

In case of translation of the GTC, the translated version will only serve an informative purpose and will bear no legal value. Consequently, the present English version remain the reference version and shall always prevail if a discrepancy arises with a translated version.

The GTC or the Agreement can only be amended with the preliminary written consent of ALICIA KREIJGER TRAINING & COACHING.
